Listing Private Joint Stock Companies

Details
This service allows private companies to request listing their funds at DFM by applying for the fund license from DFM. In turn, DFM will perform auditing on the available requirements in terms of issuing the approval for the company's profile to be listed at DFM. 

The Securities and Commodities Authority (SCA) approval is required for this service

Fees
  • Application fees to list a company: AED 2,000 per application paid to SCA
  • Listing fee of a company with a capital of AED 500 million or less: AED 30,000
  • Listing fee of a company with a capital of more than AED 500 million up to AED 2 billion: AED 50,000
  • Listing fee of a company with a capital exceeding AED 2 billion: AED 100,000

Procedures
    1. The company should complete and submit the request to list funds at DFM and fulfill all requirements in terms of enabling the funds to be listed at DFM
    2. The Listing and Disclosure Department at DFM will review the company's application form and reply back to the requesting company whether the application is accepted or returned to fulfill the necessary requirements and resubmit the request within a time-frame of 1 week
    3. Once the request has fulfilled all the requirements, the DFM Listing and Disclosure team will transfer the request to the Securities and Commodities Authority (SCA) to check and approve it within a maximum time frame of 30 days
    4. The requesting company must pay the required listing fees once the approval is obtained (T+1)
    5. Listing date will be specified (T+1)

Required Documents
  1. A copy of the Securities and Commodities Authority (SCA) license for shares listing
  2. Copy of the documents which were attached to the listing request in the Securities and Commodities Authority (different than those requested below)
  3. A copy of the Certificate of Incorporation
  4. A copy of the business license
  5. A copy of the Commercial Register (if any)
  6. A copy of the MOA and Articles of Association
  7. A list of the authorized persons to sign documents and correspondence addressed to DFM and their signature patterns
  8. The Board of Directors resolution authorizing signatories to sign the documents addressed to the market
  9. Audited annual financial report for the last 2 years
  10. A list of all the dividends distribution (cash or shares) conducted by the company over the last 2 years
  11. A list of the shareholders and their minors who own more than 5% and the shares they own
  12. A list of the associates, subsidiaries and affiliates, including the percentage of ownership and the founders names
  13. Details of investments in any other public joint stock companies in the UAE (which was not mentioned in the previous clause) including percentage of ownership
  14. The companies' transactions and commitments with the chairman or one of the board of directors members or the administrative staff and their first degree relatives
  15. A list of BOD members names, stating the securities owned by each one  of them and by their first-degree relatives, issued by the mother company or associates or subsidiaries or affiliates, and the membership of any of them in other public share holding companies
  16. A list of the CEO's names, stating the securities owned by each one of them and by their first-degree relatives, issued by the mother company or associates or subsidiaries or affiliates, and the membership of any of them in other pubic share holding companies*
  17. A list of the company’s branches
  18. The prospectus or information bulletin
  19. Restrictions on transfer of the shares in the company
  20. Details of listing in other financial markets
  21. Please enclose any other related documents
